Canadian Tire Ltd (“CTC”)
The Member is part of the supply agreement with Uni-Select for the distribution of aftermarket automotive replacement parts, paint and body supplies, equipment, tools and accessories. Uni-Select entered into a supply agreement with Canadian Tire for the supply of Products with the CTC stores (“Stores”) through its distribution network. The Member wishes to be appointed as an authorised Uni-Select member for the distribution of Products to the Dealers. The parties hereby agree as follows: 1.
The Member will respect all the terms described in the Member Operation Manual for CTC (“Manual”) available on UniForum.
2.
The Member must supply reports required under electronic form to Uni-Select. These monthly reports must be sent electronically and the Member authorizes the service provider, who has an information management system installed at the Member’s place of business (the “Third Party Service Provider”), to extract, under any format, the information required for the preparation of the reports and send this information to Uni-Select to calculate Rebates and for statistical purposes.
3.
On occasions, Uni-Select may make modifications to the Manual and the Member undertakes to be bound by all such amendments.
4.
The Member agrees and undertakes to abide by the terms and conditions of the Manual, including those listed above. If the Member does not respect such terms and conditions, Uni-Select may immediately terminate this agreement without notice or penalty.
5.
The capitalized terms not otherwise defined herein shall have the meaning ascribe to them in the Manual.
