Notice of decision to dissolve provincial corporations Take notice that the Director under the Business Corporations Act has made a decision to dissolve the following corporations pursuant to paragraph 139(1)(c) of the Act, as the said corporations have been in default in sending to the Director fees, notices, and/or documents required by the Act. Please note that 60 days after the date of publication of this Notice in The Royal Gazette, the Director may dissolve the corporations.

MI 32-102 would exempt non-resident investment fund managers from the requirement to register in the jurisdictions in circumstances where there are no significant connecting factors to the local jurisdiction. The Proposed Materials include an exemption from the investment fund manager registration in circumstances where there are no security holders of the investment fund, or active solicitation of residents, in the local jurisdiction. 32-102CP provides guidance on what would and would not be considered active solicitation. The proposed rule also provides an exemption in circumstances where the Canadian distribution of the fund’s securities would be restricted to permitted clients. The purpose of the proposed consequential amendment to section 7.3 of 31-103CP is to provide references to applicable guidance on the registration requirement for non-resident investment fund managers. Request for Comment The Commission welcomes your comments on the Proposed Materials as they apply to New Brunswick only.

The Royal Gazette is published every Wednesday under the authority of the Queen’s Printer Act. Documents must be received by the Royal Gazette Coordinator, in the Queen’s Printer Office, no later than noon, at least seven days prior to Wednesday’s publication. Each document must be separate from the covering letter. Signatures on documents must be immediately followed by the printed name. The Queen’s Printer may refuse to publish a document if any part of it is illegible, and may delay publication of any document for administrative reasons. Prepayment is required for the publication of all documents. Standard documents have the following set fees:
